Key risks
The bonds are unsecured and have no collateral. Bondholders have no lien on any property owned by the Company or the guarantor.
Interest at a full raise ($37,500 a month) exceeds the guarantor’s current rent ($20,220 a month). The guarantor’s rental income may not be sufficient to cover interest payments to bondholders.
The guarantor reported a net loss of $752,927 from January 2025 to September 2026 and its liabilities exceed the recorded cost of its assets. There is a risk that the guarantor may be unable to meet its obligations under the guarantee.
The guarantor already owes about $1.9 million to private noteholders who rank equally with bondholders. These noteholders share in the guarantor’s assets on equal footing with bondholders.
There is no public market for the bonds and none is expected to develop. The bonds are illiquid and investors should be prepared to hold them for the full 36-month term.
No outside counsel or auditor has reviewed the offering. The financial statements referenced in the PPM are unaudited and have not been reviewed by an independent party.

The bonds are not bank deposits, are not FDIC-insured and are not backed by any government agency.
